Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Baseline Labs websites, products, and APIs (the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

This document is provided for transparency and is pending final legal review. A signed order form or enterprise agreement, where one exists, takes precedence over these Terms.

1. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.

2. The Services

Baseline Labs provides generative-engine-optimisation and structured-data tooling, including audits, reports, monitoring, and APIs. We may add, change, or discontinue features over time. We aim for high availability but the Services are provided without any guarantee of uninterrupted operation.

3. Acceptable use

You agree not to:

• Use the Services to violate any law or infringe the rights of others.
• Audit, scan, or submit domains you are not authorised to analyse.
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorised access to the Services or related systems.
• Resell or redistribute the Services except as expressly permitted.
• Exceed documented API rate limits or circumvent usage controls.

4. Subscriptions, billing, and credits

Paid plans and usage credits are billed in advance through our payment processor on the cadence shown at checkout. Unless stated otherwise, fees are non-refundable and exclude applicable taxes. Subscriptions renew automatically until cancelled; you may cancel at any time, with the change taking effect at the end of the current billing period. We may change pricing on prospective notice.

5. Your content

You retain all rights to the data and content you submit. You grant us a limited licence to process that content solely to provide and improve the Services. You are responsible for ensuring you have the rights necessary to submit it.

6. Intellectual property

The Services, including all software, designs, and content we provide, are owned by Baseline Labs or our licensors and are protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services; no other rights are granted.

7. Third-party services

The Services rely on third-party providers (for example, search and AI-model APIs and payment processing). Your use of those features may be subject to the third parties' own terms, and we are not responsible for their acts or omissions.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Audit outputs and AI-derived insights are provided for guidance only and may be incomplete or inaccurate; you are responsible for how you act on them.

9. Limitation of liability

To the fullest extent permitted by law, Baseline Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data. Our total liability arising out of or relating to the Services will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

10. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Services or other users. On termination, your right to use the Services ends; sections that by their nature should survive will continue to apply.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by notifying you. Continued use of the Services after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws applicable at Baseline Labs' place of establishment, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections available to you.
